1. Acceptance of These Terms

By accessing or using arostech.com (the "Site"), you agree to these Terms of Use and acknowledge our Privacy Policy. If you do not agree with these Terms, please do not use the Site.

These Terms apply to use of the Site itself. Additional or different terms may apply if you engage Arostech Inc. for services, enter into a collaboration, participate in a venture or otherwise establish a separate business relationship with us.

2. Website Terms Only

The information and functionality provided through this Site do not, by themselves, create a consulting, development, advisory, partnership, joint venture, fiduciary, employment or other professional relationship between you and Arostech Inc.

Any project, service, venture, partnership or other engagement accepted by Arostech will be subject to the scope, pricing, responsibilities, intellectual property terms, confidentiality obligations and other conditions contained in the applicable written agreement.

If there is a conflict between these Terms and a written agreement governing a specific engagement, the written agreement will govern that engagement.

3. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Site, our business practices or applicable requirements.

The Effective Date at the top of this page identifies the most recent version. Your continued use of the Site after updated Terms are posted constitutes acceptance of the revised Terms with respect to subsequent use of the Site.

Changes to these website Terms do not amend an existing written service or venture agreement unless that agreement expressly provides otherwise.

4. Intended Audience and Authority

The Site is intended primarily for business and professional audiences.

If you submit information or communicate with us on behalf of a company, organization or other entity, you represent that you are authorized to do so.

Nothing in these Terms is intended to waive or limit any right or protection that cannot lawfully be excluded under applicable law.

5. Permitted Use of the Site

You may browse the Site, review information about Arostech and contact us regarding potential services, business opportunities, collaborations or other legitimate inquiries.

Content on the Site is provided for general informational purposes. Information may be modified, removed or updated without notice and should not be relied upon as a substitute for advice or commitments contained in a specific written agreement.

6. Inquiries, Ideas and Submissions

If you submit information through the Site or communicate with us directly, you represent that the information is accurate to the best of your knowledge and that you have the right to provide it.

You retain ownership of materials and information that you submit to us. You authorize Arostech to review and use those materials to the extent reasonably necessary to evaluate and respond to your inquiry or provide services you have requested.

Please do not submit trade secrets, passwords, highly sensitive personal information or other confidential or proprietary materials through a general website form unless we have specifically requested them or have agreed in advance to receive them.

7. Confidentiality of Unsolicited Submissions

We seek to handle inquiries with reasonable discretion. However, submitting an idea, business concept, venture opportunity, proposal or other material through the Site does not, by itself, create a legal duty of confidentiality.

If formal confidentiality protection is required, it should be established through an appropriate written confidentiality or non-disclosure agreement before sensitive information is disclosed.

Submission of an opportunity does not obligate Arostech to evaluate, develop, finance, pursue or enter into any transaction relating to it.

8. Ventures and Business Opportunities

References on this Site to ventures, partnerships, collaboration, participation or business opportunities describe areas in which Arostech may consider becoming involved.

Nothing on the Site constitutes an offer, commitment or guarantee that Arostech will invest capital, provide financing, enter into a partnership or participate in any particular opportunity.

Nothing on the Site is intended as an offer or solicitation to purchase or sell securities, nor should Site content be considered investment, financial, legal, tax or securities advice.

Any venture or participation arrangement will be considered separately and, if pursued, documented through an appropriate written agreement.

9. Intellectual Property

Unless otherwise indicated, the Site and its content, including text, graphics, visual design, photographs, illustrations, icons, logos, trademarks, page layouts and other materials, are owned by or licensed to Arostech Inc. and are protected by applicable intellectual property laws.

You may view and use Site content for ordinary personal or internal business reference purposes.

You may not reproduce, republish, distribute, sell, modify, commercially exploit or create derivative works from Site content without our prior written permission, except as permitted by applicable law, including applicable fair dealing rights.

"Arostech" and associated logos, marks and branding may not be used in a manner that suggests sponsorship, endorsement or affiliation without our written permission.

You agree not to use the Site to:

• Engage in unlawful, fraudulent or abusive activity.
• Attempt to gain unauthorized access to the Site, server, accounts or related systems.
• Probe, scan or test systems or security measures without authorization.
• Introduce malware, malicious code or other harmful technology.
• Interfere with or disrupt the operation, availability or security of the Site.
• Impersonate another person or misrepresent your identity or authority.
• Infringe the intellectual property, privacy or other rights of another person.
• Use automated tools to scrape or extract Site content at unreasonable scale without permission.
• Attempt to circumvent access restrictions, technical controls or security features.

Ordinary indexing of publicly available pages by legitimate search engines is not prohibited by this section.

11. Third-Party Websites and Services

The Site may contain links to websites, platforms or services operated by third parties.

Third-party sites are not controlled by Arostech. We are not responsible for their availability, content, security, terms, privacy practices or other activities.

A link does not necessarily imply endorsement, sponsorship or affiliation. Your use of third-party websites and services is subject to the terms and policies of those third parties.

12. Website Availability and Accuracy

We make reasonable efforts to maintain the Site and keep its information useful and current. However, information may occasionally contain errors, omissions or outdated material.

We may modify, suspend, restrict or discontinue any part of the Site at any time without notice.

We do not guarantee that the Site will always be available, uninterrupted, secure or free from errors or harmful components.

13. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its content are provided on an "as is" and "as available" basis.

Arostech disclaims warranties and representations relating to the Site, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent such warranties may lawfully be excluded.

Nothing in this section affects warranties, conditions or rights that cannot lawfully be excluded or limited.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Arostech Inc. and its directors, officers, employees, contractors and representatives will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from or relating solely to your access to, use of or inability to use this Site.

This includes, to the extent permitted by law, loss of profits, revenue, business opportunities, data or use resulting from your use of the Site.

To the fullest extent permitted by applicable law, Arostech's aggregate liability arising solely from your use of the Site will not exceed CAD $100.

This limitation applies to website use only. Liability relating to an actual project, service, venture or other engagement will be governed by the written agreement applicable to that engagement.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

15. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Arostech Inc. and its directors, officers, employees and contractors from third-party claims, liabilities, losses and reasonable costs arising directly from:

• Your unlawful or unauthorized use of the Site.
• Your material violation of these Terms.
• Content you submit that infringes the rights of another person.
• Your intentional interference with the security or operation of the Site.

17. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any rights or jurisdiction that cannot lawfully be excluded, disputes relating to these Terms or use of the Site will be submitted to the courts of competent jurisdiction in Ontario, Canada.

18. Severability

If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, where permitted, and the remaining provisions will continue in effect.

19. No Waiver

Arostech's failure to enforce any provision of these Terms on one occasion does not waive our right to enforce that provision or any other provision in the future.
